I - DESIGNATION

3PS FORMATIONS LANGUES is a professional training organization specializing in online language learning. Its registered office is at 83 rue Avenue du General Leclerc, Maisons-Alfort and its Declaration of Activity number is 11941089894.  3PS FORMATIONS LANGUES designs, develops and delivers face-to-face online language training in France and the rest of the world; offers translation, interview preparation and proofreading services. 

In the following paragraphs, it is agreed to denote by:

• CUSTOMER: any natural or legal person who registers or places an order for training with
  3PS LANGUAGE TRAINING.

• TRAINEE: the natural person who participates in a training course.

• OPCO: the joint accredited collecting bodies responsible for collecting and managing the training effort of
  companies.

 

ARTICLE II - SCOPE OF APPLICATION

These general conditions of sale govern all the services provided by 3PS FORMATIONS LANGUES under
of its training services, whatever their form, content and location

ARTICLE III - REGISTRATION

For each training action, a quote is sent in duplicate by 3PS FORMATIONS LANGUES to the CUSTOMER.

ARTICLE IV - TRAINING AGREEMENT / CONTRACT

When the service falls within the scope of the provisions of Book Ninth of the Labor Code
relating to continuing professional training, it is the subject of a professional training agreement
concluded between 3PS FORMATIONS LANGUES and the CLIENT. This agreement is drawn up in accordance with the provisions of
Article L.920-1 of the Labor Code. In the case of training paid for by a paying agency, a
special agreement is established between 3PS FORMATIONS LANGUES, the paying agency and the trainee.

ARTICLE V - EXECUTION OF TRAINING

The content of the programs, as they appear on the training presentation sheets, are provided for
indicative. The speaker or the pedagogical manager reserves the right to modify them according to current events,
of the INTERNSHIP level. This agreement can only be given if it follows a written request from the CUSTOMER presented at least eight calendar days before the start of the training and to the extent that the requested modification does not prejudice the quality and smooth running of the training. ARTICLE VI - ABSENCES, CANCELLATIONS, POSTPONEMENTS AND INTERRUPTIONS.

In the event of cancellation of the training by the CLIENT, 3PS FORMATIONS LANGUES reserves the right to invoice the
CUSTOMER cancellation fees calculated as follows:

• If the cancellation occurs more than 15 working days before the start of the training: no cancellation fees

• If the cancellation occurs between 15 days and 10 working days before the start of the training: 50% of the
  amount of training will remain immediately payable as a lump sum

• If the cancellation occurs less than 7 working days before the start of the training: 100% of the amount of
  the training will be invoiced by 3PS FORMATIONS LANGUES to the latter.

Postponement and cancellation requests are made by email to the training manager at the following address
: 3PSlangues@gmail.com or directly by phone. Cancellation / postponement of lessons by videoconference: lessons can be modified at the latest 24 hours before the reserved time by email with the training manager. If the trainer or consultant is unable to provide the service or training on the agreed dates, 3PS FORMATIONS LANGUES undertakes to do everything possible to replace him. If replacement is not possible, 3PS FORMATIONS LANGUES then reserves the right to postpone the training to a later date without compensation for the CUSTOMER.

  In all cases, if the training could not be maintained, 3PS FORMATIONS LANGUES will do everything possible to find a new date within the following three months, without compensation for the CLIENT.

ARTICLE VII - INVOICING

Any module started is due in its entirety and will be invoiced to the CLIENT by 3PS FORMATIONS LANGUES. The training quotes and agreements are established on the basis of the prices in force on the day of the order.

In the event that the start of the service takes place more than 3 months after the completion of the
order, conditions and specificities may give rise to modifications by 3PS FORMATIONS LANGUES. The prices that govern the establishment of training estimates and agreements take particular account of
consideration of the nature, purpose and duration of the services, the number of INTERNS offered by the CLIENT, the
number of consultants, trainers and other personnel assigned by 3PS FORMATIONS LANGUES to these services.

The services are invoiced on the basis and conditions of realization mentioned on the accepted estimates or
training agreements. In the case of subrogation, the training is invoiced on the basis of the service provided.
In the event of absence, interruption or cancellation, the invoicing of 3PS FORMATIONS LANGUES will distinguish the price
corresponding to the days actually attended by the INTERN and the sums due for absences
or interruption of training. It is recalled that the sums owed by the CUSTOMER in this respect cannot be
imputed by the CLIENT to its obligation to participate in continuing professional training nor to be the subject of
a request for support by an OPCO.

In this case, the CUSTOMER undertakes to pay the sums that would remain at his expense directly to
3PS LANGUAGE TRAINING. OPCOs do not take charge of courses not taken, in the event of cancellation outside of
deadlines specified in article VI, the course is due in full and the CLIENT will be invoiced.

ARTICLE VIII - TERMS OF PAYMENT

Unless otherwise agreed, invoices are understood to be drawn up net and without discount and payable in cash at
reception. These payment terms are applicable to all 3PS FORMATIONS LANGUES Customers and do not
may be waived only following a specific and express agreement between the parties. In the event that the costs of
training are supported by an OPCO within the framework of the CPF, it is up to the TRAINEE to respect his
schedule and complete its route within the time limits granted by the OPCO.

If the CUSTOMER wishes the payment to be issued by the OPCO on which he depends, he is responsible for:

• To make a request for support before the start of the training and to ensure the successful end of this
  demand ;

• To indicate this explicitly on his registration form or on his order form;

• To ensure the successful completion of the payment by the OPCO it has designated.

If the OPCO only partially covers the cost of the training, the remainder will be invoiced to the CUSTOMER.
No training can start before receipt of the support agreement by the OPCO. In case of non-
payment by the OPCO, for any reason whatsoever, the CLIENT will be liable for the full cost of the
training and will be charged the corresponding amount.

Any sum due to 3PS FORMATIONS LANGUES and not paid by the contractual deadline will automatically result in its
benefit and after formal notice remained ineffective, the perception of default interest calculated on the basis of the
Bank of France discount rate in force on the date on which the said settlement was due, without
this clause may not affect the immediate enforceability of all sums due.

For any late payment and after formal notice remained ineffective, the debtor must, in addition to the amount
principal, pay as a non-reducible penalty clause within the meaning of article 1229 of the Civil Code a fixed compensation
at a flat rate of 10% of the sums remaining due, without prejudice to contractual default interest.

In the event of late payment, and when the services are staggered over time, 3PS FORMATIONS LANGUES
reserves the right to suspend future services until full payment of those already invoiced.

ARTICLE IX - DOCUMENTS AND SUPPORTING DOCUMENTS

At the end of the training, 3PS FORMATIONS LANGUES issues a training certificate to the INTERN / CUSTOMER as well

TRAINEES in the training courses provided.

In the event of subrogation, 3PS FORMATIONS LANGUES also sends the OPCO a copy of this certificate.

ARTICLE X - LIABILITY

ARTICLE XI - CONFIDENTIALITY CLAUSE

The computer media and documents provided by the CUSTOMER to 3PS FORMATIONS LANGUES remain the property of the
CUSTOMER. The data contained in these media and documents are strictly covered by secrecy.

ARTICLE XII - JURISDICTIONAL CLAUSE

Disputes which cannot be settled amicably will fall under the exclusive jurisdiction of the Commercial Court.

ARTICLE XIII - ACCEPTANCE OF THE GTCS AND COMPLIANCE WITH THE INTERNAL REGULATIONS OF 3PS FORMATIONS LANGUES

Any contract or order for a training service from 3PS FORMATIONS LANGUES assumes acceptance
of these clauses and the commitment to respect and ensure that its staff respect the
Internal regulations of 3PS FORMATIONS LANGUES.
